访问或使用 OMNIAXS 平台（以下简称"平台"）即表示您同意受本服务条款（以下简称"条款"）、我们的隐私政策以及任何适用的附加政策约束。如您不同意本条款，请立即停止使用平台。

本条款构成您与 Axiom Global Holdings Limited（以下简称"本公司"）之间具有法律约束力的协议。

2. 平台服务描述

本平台提供以下技术服务：

• 多资产连接器编排框架，支持通过统一 API 接入多个交易所、券商和数据源。
• 身份与访问管理（IAM）服务，包括用户认证、会话管理和 API Key 生命周期管理。
• 实时与历史市场数据接口，提供行情快照、K 线数据和交易日历。
• 订单执行与路由基础设施，支持主备切换和风控路由策略。
• 审批与配置工作流，用于连接器接入申请、审批和自动化绑定。
• 运营可观测性工具，包括连接器状态监控、审计日志和告警通知。

本平台服务不包括：投资咨询、投资组合管理、资产托管或任何形式的受监管金融服务。

3. 资质要求

使用本平台，您须确认：

• 您是代表具备法人资格的机构实体行事，而非以个人消费者身份使用平台。
• 您已年满 18 周岁，并具备签署具有法律约束力协议的完全民事行为能力。
• 您的使用行为符合所在司法辖区的所有适用法律法规，包括但不限于证券法、金融服务监管规定和制裁合规要求。
• 您在所在辖区开展任何需要许可的金融活动时，已取得所有必要的监管许可和牌照。
• 您提交的账号注册信息真实、准确、完整，并承诺及时更新。

4. 账号注册与安全

您负责维护账号凭据的安全性，并对通过您账号进行的所有活动承担全部责任。具体要求如下：

• 选择符合平台安全策略要求的强密码（至少 10 位，含大小写字母、数字和特殊字符）。
• 不得将账号凭据共享给未经授权的第三方。
• 如怀疑账号存在未经授权的访问，须立即通知本公司。
• 妥善管理 API Key 的生命周期，定期轮换密钥，及时吊销不再使用的密钥。
• 实施必要的内部访问控制，确保仅授权人员可访问平台凭据。

因您未能履行上述安全义务而导致的账号损失或未经授权访问，本公司不承担责任。

5. API 接入与使用限制

您对平台 API 的使用须遵守以下限制：

• API 调用频率须符合平台文档规定的速率限制，不得故意规避限流机制。
• 不得对平台基础设施实施压力测试、渗透测试或其他安全测试，除非事先获得本公司书面授权。
• 不得通过自动化手段爬取或批量下载平台数据用于平台服务范围以外的目的。
• 不得将 API 接入用于竞争性逆向工程或重新分发平台核心功能。
• 所有写接口调用须实施幂等键保护，避免因重复提交造成意外交易。

6. 可接受使用政策

您不得将本平台用于以下活动：

• 任何违反适用法律法规的行为，包括但不限于市场操纵、内幕交易或欺诈。
• 洗钱、资恐融资或违反任何制裁法规的活动。
• 干扰、破坏或未经授权访问平台系统、网络或数据。
• 传播恶意软件、病毒或其他可能损害平台或其他用户的有害代码。
• 通过算法操纵或协调手段人为扭曲市场价格或流动性。
• 任何可能对平台稳定性、安全性或其他用户体验造成不合理损害的活动。

违反本政策可能导致账号立即暂停或终止，本公司保留向相关监管机构报告的权利。

7. 非投资建议声明

本平台提供的所有内容，包括市场数据、连接器状态、执行指标和文档，均仅供技术参考，不构成投资建议、投资研究、市场分析或任何形式的金融建议。

本公司不对通过平台执行的任何交易的盈亏结果承担责任。您使用平台数据和执行能力做出的所有交易决策，均由您自行承担风险与责任。

平台所展示的历史数据或绩效指标不代表未来结果，亦不构成对未来收益的任何承诺或保证。

8. 风险披露

使用本平台涉及重大风险，包括但不限于：

• 市场风险：金融资产价格可能出现剧烈波动，导致重大损失，甚至超过初始投资金额。
• 技术风险：系统故障、网络中断、软件错误或 API 延迟可能导致交易执行失败、滑点或意外持仓。
• 连接器风险：接入的交易所或券商可能因市场条件、监管变化、技术问题或合规要求而暂停服务。
• 监管风险：不同司法辖区对金融服务的监管要求各异，且可能随时变化，影响平台功能的可用性。
• 流动性风险：特定资产或市场在极端情况下可能面临流动性不足，导致无法以预期价格成交。

您应自建完善的风险控制体系，包括仓位限制、下单频率控制、止损策略和灾备回退方案，并确保其在使用本平台前已正式部署且经过验证。

9. 知识产权

本平台及其所有组成部分，包括软件、API 设计、文档、商标、品牌元素和技术架构，均受著作权、商标权及其他知识产权法律保护，归 Axiom Global Holdings Limited 所有。

在您遵守本条款的前提下，本公司授予您有限的、非独占的、不可转让的、可撤销的许可，仅供您在平台订阅期间内出于合法业务目的使用平台服务。

本许可不赋予您：复制、修改、分发平台软件，或基于平台技术开发竞争性产品的任何权利。

10. 服务可用性

本公司致力于维持平台的高可用性，但不对连续、不间断或无错误的服务提供任何保证。平台可能因以下原因发生中断：

• 计划内维护（将提前通知）
• 紧急安全修复或合规响应
• 上游交易所、券商或数据供应商的服务中断
• 超出合理控制范围的不可抗力事件

平台的实时状态信息请参阅状态页面。建议您订阅状态通知以及时获取服务变更信息。

11. 责任限制

在适用法律允许的最大范围内：

• 本公司不对任何间接损失、附带损失、特殊损失、惩罚性损失或后果性损失承担责任，包括但不限于利润损失、数据损失、商誉损失或业务中断。
• 本公司对您的最高累计赔偿责任，不超过损害发生前十二个月内您实际支付给本公司的服务费用总额，或新加坡元一千元（SGD 1,000），以较高者为准。
• 上述责任限制不适用于因本公司重大过失或故意行为导致的损失，亦不影响任何不可依法律排除的法定权利。

12. 赔偿

您同意就以下事项对本公司、其关联方、高管、员工和代理人进行赔偿并使其免受损害：因您违反本条款、违反适用法律法规、侵犯第三方权利，或因您通过平台的交易活动引发的任何索赔、损失、责任、损害、费用（包括合理的律师费）。

13. 服务终止

您可随时通过工单系统申请注销账号，终止使用本平台。

本公司保留在以下情形下立即暂停或终止您的账号的权利：违反本条款、从事非法活动、对平台安全构成威胁、逾期未付款项，或出于合规与监管要求。

账号终止后，您在平台上的数据将按照我们的数据保留政策处理。本条款中按其性质应在终止后继续有效的条款（包括知识产权、责任限制和赔偿条款）将继续有效。

14. 准据法与争议解决

本条款受新加坡法律管辖，并依据新加坡法律解释，不考虑法律冲突规则。

因本条款或平台使用引发的任何争议，双方应首先通过友好协商解决。如协商未能在 30 天内解决，争议应提交新加坡国际仲裁中心（SIAC），依据届时有效的 SIAC 仲裁规则，以仲裁方式最终解决。仲裁地点为新加坡，仲裁语言为英语。仲裁裁决对双方均具有最终约束力，可在具有管辖权的任何法院申请强制执行。

15. 条款变更

本公司保留随时修改本服务条款的权利。对于重大变更，我们将提前至少 30 天通过电子邮件或平台内显著提示通知您。变更生效后继续使用平台，视为您接受修订后的条款。建议您定期查阅本页面以了解最新条款。

1. Acceptance of Terms

By accessing or using the OMNIAXS Platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any applicable supplemental policies. If you do not agree to these Terms, please cease using the Platform immediately.

These Terms constitute a legally binding agreement between you and Axiom Global Holdings Limited ("the Company").

2. Service Description

The Platform provides the following technical services:

• A multi-asset connector orchestration framework enabling unified API access to exchanges, brokers, and data sources.
• Identity and Access Management (IAM) including user authentication, session management, and API Key lifecycle management.
• Real-time and historical market data APIs providing quote snapshots, candlestick data, and trading calendars.
• Order execution and routing infrastructure with primary/failover switching and risk-routing policies.
• Approval and provisioning workflows for connector onboarding, approval, and automated binding.
• Operational observability tools including connector health monitoring, audit logging, and alert notifications.

The Platform does not provide: investment advice, portfolio management, asset custody, or any form of regulated financial services.

3. Eligibility Requirements

To use the Platform, you must confirm that:

• You are acting on behalf of an institutional entity with legal personality, not as an individual consumer.
• You are at least 18 years of age and have full legal capacity to enter into a binding agreement.
• Your use complies with all applicable laws and regulations in your jurisdiction, including without limitation securities laws, financial services regulations, and sanctions compliance requirements.
• You hold all necessary regulatory licenses and authorizations for any licensed financial activities conducted in your jurisdiction.
• The account registration information you provide is accurate, truthful, and complete, and you will keep it updated.

4. Account Registration and Security

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Specifically, you must:

• Choose a strong password meeting the Platform's security policy (minimum 10 characters including uppercase, lowercase, numbers, and symbols).
• Not share account credentials with unauthorized third parties.
• Notify the Company immediately if you suspect unauthorized access to your account.
• Manage your API Keys responsibly, rotating them regularly and revoking any keys no longer in use.
• Implement appropriate internal access controls to ensure only authorized personnel can access Platform credentials.

The Company is not liable for any loss or unauthorized access resulting from your failure to fulfill these security obligations.

5. API Access and Usage Limits

Your use of the Platform API is subject to the following restrictions:

• API call frequency must comply with the rate limits specified in Platform documentation. Deliberate circumvention of rate-limiting mechanisms is prohibited.
• Stress testing, penetration testing, or other security testing of Platform infrastructure is prohibited without prior written authorization from the Company.
• Automated scraping or bulk downloading of Platform data for purposes outside the scope of the Platform service is prohibited.
• Using API access for competitive reverse engineering or redistribution of Platform core functionality is prohibited.
• All write API calls must implement idempotency key protection to prevent unintended duplicate transactions.

6. Acceptable Use Policy

You may not use the Platform for:

• Any activity that violates applicable laws or regulations, including but not limited to market manipulation, insider trading, or fraud.
• Money laundering, terrorist financing, or violation of any sanctions regulations.
• Interfering with, disrupting, or gaining unauthorized access to Platform systems, networks, or data.
• Distributing malware, viruses, or other harmful code that could damage the Platform or other users.
• Artificially distorting market prices or liquidity through algorithmic manipulation or coordinated activity.
• Any activity that could cause unreasonable harm to Platform stability, security, or other users' experience.

Violations of this policy may result in immediate account suspension or termination, and the Company reserves the right to report violations to relevant regulatory authorities.

7. No Investment Advice

All content provided by the Platform, including market data, connector status, execution metrics, and documentation, is for technical reference purposes only and does not constitute investment advice, investment research, market analysis, or any form of financial advice.

The Company is not responsible for the profit or loss outcome of any transactions executed through the Platform. All trading decisions made using Platform data and execution capabilities are made at your own risk and responsibility.

Historical data or performance metrics displayed on the Platform do not represent future results and do not constitute any promise or guarantee of future returns.

8. Risk Disclosure

Use of the Platform involves significant risks, including but not limited to:

• Market Risk: Financial asset prices can fluctuate dramatically, leading to significant losses that may exceed the initial investment amount.
• Technology Risk: System failures, network interruptions, software errors, or API latency may result in failed execution, slippage, or unintended positions.
• Connector Risk: Connected exchanges or brokers may suspend services due to market conditions, regulatory changes, technical issues, or compliance requirements.
• Regulatory Risk: Financial services regulations vary across jurisdictions and may change at any time, affecting the availability of Platform functionality.
• Liquidity Risk: Specific assets or markets may face insufficient liquidity under extreme conditions, making it impossible to transact at expected prices.

You must establish comprehensive risk control systems including position limits, order frequency controls, stop-loss strategies, and disaster recovery fallback plans, and ensure they are formally deployed and tested before using the Platform.

9. Intellectual Property

The Platform and all its components, including software, API design, documentation, trademarks, brand elements, and technical architecture, are protected by copyright, trademark, and other intellectual property laws, and are owned by Axiom Global Holdings Limited.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform services solely for legitimate business purposes during your subscription period.

This license does not grant you any right to copy, modify, or distribute Platform software, or to develop competitive products based on Platform technology.

10. Service Availability

The Company is committed to maintaining high Platform availability but makes no guarantee of continuous, uninterrupted, or error-free service. The Platform may experience downtime due to:

• Scheduled maintenance (with advance notice)
• Emergency security patches or compliance responses
• Service interruptions from upstream exchanges, brokers, or data providers
• Force majeure events beyond reasonable control

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation loss of profits, loss of data, loss of goodwill, or business interruption.
• The Company's maximum cumulative liability to you shall not exceed the total service fees you actually paid to the Company in the twelve months prior to the damage, or SGD 1,000 (Singapore Dollars One Thousand), whichever is greater.
• These limitations do not apply to losses caused by the Company's gross negligence or wilful misconduct, nor do they affect any statutory rights that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, violation of applicable laws or regulations, infringement of third-party rights, or trading activities conducted through the Platform.

13. Termination

You may terminate your use of the Platform at any time by submitting an account closure request through the support ticket system.

The Company reserves the right to immediately suspend or terminate your account in cases of: breach of these Terms, illegal activity, threats to Platform security, outstanding unpaid fees, or compliance and regulatory requirements.

Upon termination, your Platform data will be handled in accordance with our data retention policy. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification clauses — shall remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law rules.

Any dispute arising from these Terms or the use of the Platform shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to the Singapore International Arbitration Centre (SIAC) for final resolution by arbitration in accordance with the SIAC Rules then in effect. The seat of arbitration shall be Singapore and the language of arbitration shall be English. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

15. Changes to Terms

The Company reserves the right to modify these Terms of Service at any time. For material changes, we will provide at least 30 days' advance notice via email or prominent in-platform notification. Your continued use of the Platform after the effective date of changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

本規約は、お客様とAxiom Global Holdings Limited（以下「当社」）との間の法的拘束力を持つ契約を構成します。

2. サービスの説明

本プラットフォームは以下の技術サービスを提供します：

• 取引所、ブローカー、データソースへの統合APIアクセスを可能にするマルチアセットコネクタオーケストレーションフレームワーク。
• ユーザー認証、セッション管理、APIキーライフサイクル管理を含むID・アクセス管理（IAM）。
• 相場スナップショット、ローソク足データ、取引カレンダーを提供するリアルタイムおよび履歴市場データAPI。
• プライマリ/フェイルオーバー切替とリスクルーティングポリシーを備えた注文執行・ルーティングインフラ。
• コネクタオンボーディング、承認、自動バインディングのための承認・プロビジョニングワークフロー。
• コネクタ健全性監視、監査ログ、アラート通知を含む運用可観測性ツール。

本プラットフォームは投資アドバイス、ポートフォリオ管理、資産保管、またはいかなる形の規制金融サービスも提供しません。

3. 利用資格

プラットフォームを使用するには、以下を確認する必要があります：

• 個人消費者としてではなく、法人格を持つ機関を代表して行動していること。
• 18歳以上であり、拘束力のある契約を締結するための完全な法的能力を持つこと。
• 利用行為が、証券法、金融サービス規制、制裁コンプライアンス要件を含む、管轄区域のすべての適用法令を遵守していること。
• 管轄区域でライセンスが必要な金融活動を行う場合、必要な規制ライセンスと認可をすべて保有していること。
• 提供するアカウント登録情報が正確、真実、かつ完全であり、最新の状態に保つこと。

4. アカウント登録とセキュリティ

お客様はアカウント認証情報のセキュリティを維持する責任を負い、アカウントの下で行われるすべての活動について責任を負います。具体的には：

• プラットフォームのセキュリティポリシー要件を満たす強力なパスワード（大文字、小文字、数字、記号を含む10文字以上）を選択すること。
• アカウント認証情報を不正な第三者と共有しないこと。
• アカウントへの不正アクセスが疑われる場合は直ちに当社に通知すること。
• APIキーを責任を持って管理し、定期的にローテーションし、使用しなくなったキーは直ちに失効させること。
• 認可された担当者のみがプラットフォームの認証情報にアクセスできるよう、適切な内部アクセス制御を実施すること。

セキュリティ義務を履行しなかったことによるアカウントの損失または不正アクセスについて、当社は責任を負いません。

5. APIアクセスと利用制限

• APIコール頻度はプラットフォームドキュメントに記載されたレート制限に準拠する必要があります。レート制限メカニズムの意図的な回避は禁止されています。
• 当社の事前書面による承認なしに、プラットフォームインフラのストレステスト、ペネトレーションテスト、またはその他のセキュリティテストは禁止されています。
• プラットフォームサービスの範囲外の目的でのプラットフォームデータの自動スクレイピングまたは一括ダウンロードは禁止されています。
• 競争的なリバースエンジニアリングまたはプラットフォームのコア機能の再配布のためのAPIアクセスの使用は禁止されています。
• 意図しない重複取引を防ぐため、すべての書き込みAPIコールに冪等キー保護を実装する必要があります。

6. 利用可能行為ポリシー

本プラットフォームを以下の目的に使用することはできません：

• 市場操作、インサイダー取引、詐欺を含む、適用法令に違反するいかなる行為。
• マネーロンダリング、テロ資金供与、または制裁規制への違反。
• プラットフォームのシステム、ネットワーク、またはデータへの妨害、破壊、または不正アクセス。
• プラットフォームまたは他のユーザーに損害を与える可能性のあるマルウェア、ウイルス、または有害なコードの配布。
• アルゴリズム操作や協調行動による市場価格または流動性の人為的な歪曲。
• プラットフォームの安定性、セキュリティ、または他のユーザーの体験に不当な損害を引き起こす可能性のある行為。

7. 投資アドバイス非提供の声明

市場データ、コネクタ状態、執行指標、ドキュメントを含む、プラットフォームが提供するすべてのコンテンツは技術的参考目的のみであり、投資アドバイス、投資調査、市場分析、またはいかなる形の金融アドバイスも構成しません。

当社はプラットフォームを通じて執行された取引の損益結果について責任を負いません。プラットフォームデータと執行能力を使用して行われたすべての取引決定は、お客様自身のリスクと責任において行われます。

8. リスク開示

• 市場リスク：金融資産の価格は大幅に変動する可能性があり、初期投資額を超える重大な損失をもたらす可能性があります。
• 技術リスク：システム障害、ネットワーク中断、ソフトウェアエラー、またはAPIレイテンシにより、執行失敗、スリッページ、または意図しないポジションが生じる可能性があります。
• コネクタリスク：接続された取引所またはブローカーは、市場状況、規制変更、技術的問題、またはコンプライアンス要件によりサービスを停止する場合があります。
• 規制リスク：金融サービス規制は管轄区域によって異なり、いつでも変更される可能性があり、プラットフォーム機能の可用性に影響を与える場合があります。
• 流動性リスク：特定の資産または市場は極端な状況下で流動性が不足し、期待される価格での取引が不可能になる場合があります。

ポジション制限、注文頻度制御、損切り戦略、ディザスタリカバリフォールバックプランを含む包括的なリスク管理システムを構築し、プラットフォームを使用する前に正式に展開・テスト済みであることを確認してください。

9. 知的財産権

ソフトウェア、API設計、ドキュメント、商標、ブランド要素、技術アーキテクチャを含む本プラットフォームとそのすべての構成要素は、著作権、商標権、その他の知的財産法によって保護されており、Axiom Global Holdings Limitedが所有します。

本規約の遵守を条件として、当社はサブスクリプション期間中に合法的なビジネス目的でプラットフォームサービスを使用するための限定的、非独占的、譲渡不可、取消可能なライセンスを付与します。

10. サービス可用性

当社はプラットフォームの高可用性維持に努めますが、継続的、中断のない、またはエラーのないサービスについていかなる保証もしません。以下の理由によりダウンタイムが発生する場合があります：

• 定期メンテナンス（事前通知あり）
• 緊急セキュリティパッチまたはコンプライアンス対応
• 上流取引所、ブローカー、またはデータプロバイダーのサービス中断
• 合理的な制御を超えた不可抗力イベント

11. 責任の制限

適用法が許容する最大限の範囲において：

• 当社は、利益の損失、データの損失、のれんの損失、または事業の中断を含む、いかなる間接的、付随的、特別、懲罰的、または結果的損害についても責任を負いません。
• お客様に対する当社の最大累積責任は、損害発生前の12ヶ月間にお客様が実際に当社に支払ったサービス料金の合計、またはシンガポールドル1,000（SGD 1,000）のいずれか高い方を超えないものとします。
• これらの制限は、当社の重大な過失または故意の不正行為による損失には適用されず、法律によって除外できない法定の権利にも影響しません。

12. 補償

お客様は、本規約の違反、適用法令の違反、第三者の権利の侵害、またはプラットフォームを通じた取引活動から生じるすべての請求、損失、責任、損害、費用（合理的な弁護士費用を含む）について、当社、その関連会社、役員、従業員、代理人を補償し、損害を与えないことに同意します。

13. サービス終了

お客様はいつでもサポートチケットシステムを通じてアカウント閉鎖リクエストを送信することでプラットフォームの使用を終了できます。

当社は、本規約の違反、違法行為、プラットフォームセキュリティへの脅威、未払い料金、またはコンプライアンスおよび規制要件の場合に、お客様のアカウントを直ちに停止または終了する権利を留保します。

14. 準拠法と紛争解決

本規約は、法の抵触規則を考慮せず、シンガポールの法律に準拠し、解釈されます。

本規約またはプラットフォームの使用から生じる紛争は、まず当事者間の誠実な交渉の対象となります。30日以内に解決できない場合、紛争はシンガポール国際仲裁センター（SIAC）に提出され、当時有効なSIACルールに従って仲裁により最終的に解決されます。仲裁地はシンガポールとし、仲裁言語は英語とします。

15. 規約の変更

当社はいつでも本利用規約を変更する権利を留保します。重要な変更については、メールまたはプラットフォーム内の目立つ通知を通じて、少なくとも30日前に事前通知します。変更の発効後も本プラットフォームを引き続き使用することは、改訂された規約への同意を意味します。
